This is a legal agreement between you (the “Licensee”) and Hien Minh Thi Nguyen (“Licensor”) for the use of NovaJAM Pro (“Software”). By purchasing, downloading, or using the Software, you agree to be bound by the terms of this license.

1. Grant of License

Upon purchase, the Licensor grants the Licensee a non-exclusive, non-transferable license to use NovaJAM Pro to build end products in accordance with the selected license type (Starter, Business, or Team).

– Starter and Business Licenses are valid for use by one individual user.
– Team License is valid for use by up to 10 users within the same organization.
– Separate licenses must be obtained for additional users or organizations.

2. Permitted Use

Starter License: Grants a single user the right to use the Software to build one (1) end product for personal or commercial use.

Business License: Grants a single user the right to use the Software to build unlimited end products for personal or commercial use.

Team License: Grants up to 10 users within the same organization the right to use the Software to build unlimited end products for personal or commercial use.

The Licensee may:
– Modify the Software to suit specific project needs.
– Include the Software in client projects, as long as it is not redistributed in source form.
– Host the end product on any domain or platform.

3. Prohibited Use

The Licensee may not:
– Use the Starter or Business license for or share it with more than one individual.
– Use the Team license for more than 10 users or outside the licensed organization.
– Redistribute, resell, or sublicense the Software in its original or modified form.
– Include the Software in any product or service that competes with NovaJAM Pro or allows others to build derivative products using it.
– Use the Software to build a SaaS, no-code/low-code website builder, or similar tool that lets end users create or distribute websites based on NovaJAM Pro.
– Claim ownership of the Software or any part of its source code.

4. Support and Updates

Starter License: Includes updates and technical support for 12 months from the date of purchase.

Business and Team Licenses: Include updates and technical support for the lifetime of the product.

Support is limited to installation, integration, and general usage questions.

5. Ownership and Intellectual Property

The Software is the intellectual property of Hien Minh Thi Nguyen and is protected under copyright and applicable intellectual property laws.

– All rights not expressly granted in this agreement are retained by the Licensor.
– The Licensee may not remove or alter any copyright notices.

6. Termination

This license will be terminated automatically if the Licensee violates any of its terms.

Upon termination, the Licensee must cease using the Software and destroy all copies in their possession.

7. Warranty and Liability

– The Software is provided “as is” without warranties of any kind.
– The Licensor is not liable for any loss, damage, or claim arising from use or inability to use the Software.
– The Licensee assumes full responsibility for their use of the Software.

8. Governing Law

This agreement is governed by the laws of Vietnam, without regard to its conflict of laws principles.

All disputes shall be resolved through arbitration or legal proceedings in Vietnam.
